Questions
What is a clickwrap NDA?
A clickwrap NDA is a confidentiality agreement that a person accepts by clicking a control such as 'I agree', rather than signing a document. It is used where getting a signature from every recipient is impractical, for example gating access to a SaaS portal, a product beta, a virtual data room, or a download. The full terms are presented, the recipient takes an affirmative action to accept, and a record of that acceptance is kept.
Is a clickwrap NDA enforceable in the UK?
A clickwrap agreement can be enforceable under English contract law where the terms are presented before access, the recipient takes a clear affirmative action to accept (such as ticking an unticked box or clicking 'I agree'), and you keep a record of who accepted, when, and which version. This template is drafted to support that, and includes guidance on implementing an enforceable flow. It is a self-help template, not legal advice.
How is this different from a normal NDA?
A normal NDA is signed by named parties. A clickwrap NDA is a one-way agreement accepted electronically by whoever is granted access, identified by their account or email and the acceptance record. It suits high-volume situations, such as many beta users or data-room visitors, where individual signatures are not workable.
What format do I get?
An editable Microsoft Word (.docx) document with highlighted [FIELDS] to complete. You adapt the terms, then implement the acceptance flow on your portal or platform using the guidance included.
