About this investor NDA.
How do I customise the template?
Open the DOCX in Word, Google Docs or LibreOffice. Find-replace the highlighted [FIELDS]. The template's inline guidance walks you through each field.
Will VCs sign this?
Most established UK VCs decline to sign NDAs at pitch stage. This template is best for angels, family offices, corporates, and later-stage diligence.
What's the non-circumvention provision?
It stops the investor going around you to deal directly with your customers, suppliers, or co-founders.
Should I include an exclusivity period?
Only later in diligence, and only short (1-3 months). At pitch stage, exclusivity scares serious investors off.
Can I share materials with multiple investors?
Yes, each one signs their own copy. The bundle is the right tier if you're in active fundraising and need other variants too.
