What is a mutual NDA?

A mutual NDA (non-disclosure agreement) — also called a two-way or bilateral NDA — is a contract where both parties agree to keep each other's confidential information secret. Use it whenever both sides will share sensitive information: partnerships, joint ventures, M&A discussions, agency pitches, or co-development. Under UK law a mutual NDA is an ordinary contract that takes effect on signature; no witness or notary is required.

When do I need a mutual NDA template in the UK?

Use a mutual NDA template whenever two parties will exchange confidential information before a formal contract is signed — for example, before a joint venture agreement, a technology partnership, or M&A heads of terms. If only one side is sharing information, choose a one-way NDA instead.

Can I use this for international parties?

Best for UK-to-UK. For international, take legal advice.

What's the right term length?

24 months is standard; longer for IP-heavy contexts. The template defaults to 24 with guidance on when to extend.

Do both sides need to sign?

Yes. The NDA isn't binding until both parties sign.

What's the difference between this and a One-Way NDA?

One-way protects only one direction of disclosure; this protects both.

Can a mutual NDA be used to prevent reporting of criminal conduct?

No. From 29 June 2026, s.250 of the Crime and Policing Act 2026 creates automatic vicarious criminal liability for organisations where a senior manager commits any criminal offence within their actual or apparent authority. Any NDA clause purporting to prevent either party from reporting such a crime to the police, prosecutors, or regulatory bodies is not merely unenforceable — it may be treated as evidence of the organisation suppressing its own criminal liability. This template's mandatory Clause 3.2 carve-out explicitly preserves the right to report criminal offences to police, cooperate with criminal investigations, and report to regulators (including the SRA). That right cannot be excluded. If criminal conduct by a senior manager is relevant to your use of this template, take independent legal advice.
