Will this protect me from IR35 issues?

It sets the right baseline (explicit non-employment language) but doesn't guarantee outcome, working practices matter more than paperwork.

Does the Employment Rights Act 2025 apply to freelancer NDAs?

The s.202A Employment Rights Act 2025 void-NDA provision primarily targets employee and worker relationships. A genuinely self-employed contractor operating through their own company is unlikely to be in scope. However, if the individual has or may have worker status under UK employment law, any clause covering relevant harassment or discrimination could be void once the provisions are in force (expected October 2026 or 2027 subject to commencement). Take independent legal advice in borderline cases.

Can an NDA stop a freelancer in the legal sector reporting misconduct to the SRA?

No. From 2 June 2026, the Solicitors Regulation Authority (SRA) is a formally designated prescribed person under the Public Interest Disclosure Act 1998 (PIDA). Workers in the legal sector — including trainees, paralegals, clerks, and agency workers regulated by the SRA — may make protected disclosures directly to the SRA regardless of any confidentiality clause. This template's mandatory whistleblowing carve-out already preserves that right.

Do I need a separate engagement contract?

Yes. This is the NDA; the engagement contract is separate.

What about IP they bring to the project?

Pre-existing IP stays theirs; you get a licence to use it in the deliverables.

Can I use this for someone via their limited company?

Do I need non-solicitation?
